SwapBee Terms of Service

These Terms of Service (“Terms” or “TOS”) govern your access to and use of the SwapBee website available at https://swapbee.com, including any related subdomains, widgets, integrations, and the SwapBee application programming interface (“API”). All of the foregoing are collectively referred to as the “Services”.

The Services are operated by SwapBee Inc., a company incorporated under the laws of the Republic of Panama, with registered address at:

Throughout these Terms, “SwapBee”, “we”, “us”, or “our” refers to SwapBee Inc.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by the SwapBee Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the Services.

1. Nature and Scope of the Services

1.1 What SwapBee Does Not Do

SwapBee is not a cryptocurrency exchange, broker, dealer, custodian, financial institution, payment service provider, or money services business.

In particular, SwapBee does not:

• Take custody, possession, or control of user funds, crypto assets, private keys, or wallets.
• Operate accounts, hold balances, or maintain funds on behalf of users.
• Execute, clear, settle, guarantee, or reverse any exchange transaction.
• Buy, sell, or trade crypto assets on its own behalf or on behalf of users.
• Provide fiat to crypto or crypto to fiat services.
• Act as a counterparty, principal, or agent in any transaction.
• Provide investment, financial, legal, or tax advice.
• Guarantee exchange rates, liquidity, execution times, or transaction outcomes.
• Control, manage, or interfere with the technical, operational, compliance, or refund decisions of any third party service provider.

SwapBee provides software, routing, and aggregation technology only.

1.2 What SwapBee Does

SwapBee is a non custodial software platform that enables users to discover, compare, and route cryptocurrency to cryptocurrency exchange services offered by independent third party exchange service providers (“Partners”).

When a user initiates a swap through the Services:

• SwapBee queries multiple Partners via API.
• By default, the Partner offering the most advantageous option at that moment, in terms of exchange rate and/or expected execution time, is displayed.
• The user may manually select a different Partner, where available.
• Upon user confirmation, transaction details are transmitted to the selected Partner.
• The exchange of crypto assets is executed directly by the selected Partner, under its own systems, terms, and policies.
• Funds are transferred directly between the user and the Partner, without passing through or being controlled by SwapBee.

The contractual relationship for any exchange transaction exists solely between the user and the selected Partner. SwapBee is not a party to, nor a counterparty in, any such transaction.

2. Relationship with Third Party Partners

2.1 Independent service providers

Partners are independent third party entities and do not act as employees, agents, representatives, or affiliates of SwapBee.

SwapBee does not control, operate, supervise, or guarantee:

• Partner infrastructure or liquidity.
• Transaction execution or settlement.
• Compliance, AML, or KYC decisions.
• Refund or recovery processes.

2.2 Partner terms

Each Partner operates under its own terms of service, privacy policy, and compliance framework.

By selecting a Partner through the Services, you acknowledge and agree that your transaction is governed by the Partner’s applicable terms and policies. SwapBee does not review, enforce, or interpret Partner terms on your behalf.

2.3 No responsibility for Partner actions

SwapBee shall not be liable for any loss, delay, refusal, suspension, cancellation, or other outcome arising from the acts or omissions of a Partner or any third party engaged by a Partner.

3. Eligibility and User Representations

By using the Services, you represent and warrant that:

• You are at least 18 years old or the legal age in your jurisdiction.
• You have full legal capacity to enter into these Terms.
• You are not subject to economic, financial, or trade sanctions.
• You are not located in, a resident of, or a citizen of any jurisdiction where use of the Services is prohibited by law.
• All funds used are obtained through lawful means.

SwapBee reserves the right to restrict or deny access to the Services at any time to comply with applicable law, regulatory obligations, or Partner requirements.

4. Lawful Use and Prohibited Conduct

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

You must not use the Services to:

• Engage in money laundering, terrorism financing, fraud, or sanctions evasion.
• Exchange proceeds derived from illegal activity.
• Bypass geographic, technical, or security restrictions.
• Interfere with the security or integrity of the Services.
• Reverse engineer, decompile, scrape, or misuse the Services without authorization.
• Impersonate SwapBee or misrepresent any affiliation.

SwapBee may monitor usage, investigate suspicious activity, and cooperate with competent authorities where required.

5. Compliance, AML, and Information Sharing

To comply with legal obligations and Partner requirements, SwapBee may:

• Collect technical and transactional information, including IP address, device, browser, language, and network data.
• Analyze such data for fraud prevention and abuse detection.
• Share relevant information with Partners and competent authorities where required by law.

Partners may independently apply AML or KYC procedures and may request additional information directly from users. SwapBee does not control Partner compliance decisions.

Failure to provide requested information may result in refusal or suspension of Services.

6. Restricted Jurisdictions and Sanctions

Access to the Service is prohibited or restricted for users located in, resident in, or otherwise connected to certain jurisdictions due to sanctions, export controls, or other legal and regulatory requirements. SwapBee may implement technical, administrative, or other measures, including IP geo-blocking, to restrict or prevent access or transactions originating from such jurisdictions.

Without limiting the foregoing, the Service is not intended for use in, and may be inaccessible from, the following jurisdictions:

• Afghanistan
• Cuba
• Democratic Republic of the Congo (Congo-Kinshasa)
• Iran
• Iraq
• Korea, North (Democratic People’s Republic of Korea – DPRK)
• South Sudan
• Sudan
• Syria
• Yemen
• Zimbabwe

This list may be updated at any time to reflect changes in applicable sanctions laws or compliance obligations. SwapBee reserves the right to restrict or terminate access to the Service with or without notice. Users are solely responsible for ensuring that their use of the Service complies with all applicable laws, regulations, and sanctions regimes.

7. Non Custodial Nature and User Responsibility

SwapBee is strictly non custodial.

SwapBee does not store private keys, maintain balances, or have the technical ability to freeze, reverse, or recover funds.

You are solely responsible for:

• The security of your wallets and private keys.
• Ensuring address accuracy and correct network selection.
• Compliance with Partner instructions and transaction limits.

8. Rates, Fees, and Execution

All rates displayed are indicative estimates only. Final rates are determined by the selected Partner at execution time and may vary due to market volatility, liquidity changes, or network conditions.

Partners may apply exchange fees, spreads, and blockchain network fees.

SwapBee may receive compensation from Partners and may include a margin or commission within the displayed rate. Unless expressly stated otherwise, all applicable fees are included in the final rate shown.

Execution, settlement, and refunds are the sole responsibility of the Partner.

9. No Advice and Risk Disclosure

SwapBee does not provide investment, financial, legal, or tax advice.

Crypto assets are volatile and risky. You acknowledge that you may lose part or all of your funds and that you assume full responsibility for all decisions and outcomes resulting from your use of the Services.

10. Errors, Refunds, and Support

SwapBee does not control funds and cannot guarantee refunds or reversals.

Any refund or recovery is subject to the Partner’s policies and decisions. SwapBee may assist with communication but provides no guarantee of resolution.

SwapBee is not responsible for losses resulting from user error, including incorrect addresses, wrong networks, unsupported assets, or failure to follow instructions.

11. Privacy

Personal data is collected and processed in accordance with the SwapBee Privacy Policy.

12. Intellectual Property

All content, software, trademarks, and technology related to the Services are owned by SwapBee Inc. or its licensors.

You are granted a limited, revocable, non transferable license to use the Services solely for their intended purpose.

13. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

SwapBee disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.

14. Limitation of Liability

To the maximum extent permitted by law, SwapBee shall not be liable for indirect, incidental, special, or consequential damages, loss of profits, loss of data, or loss of goodwill.

SwapBee shall not be liable for losses arising from Partner actions, blockchain failures, network congestion, or third party systems.

Where liability cannot be excluded, total aggregate liability shall not exceed the fees paid directly to SwapBee in connection with the transaction giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless SwapBee from any claims, damages, or expenses arising from your breach of these Terms, unlawful use of the Services, or violation of third party rights.

16. Modifications and Suspension

SwapBee may modify these Terms at any time by publishing an updated version on the Website.

Continued use constitutes acceptance of the updated Terms.

SwapBee may suspend or discontinue the Services where required for legal, security, or operational reasons.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Panama.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Panama City, unless mandatory law provides otherwise.
